Terms of Service

These Terms of Service ("Terms") govern your access to and use of the analytics dashboards, data integrations, and related services ("Services") provided by Northwind Pulse ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1. Description of Services

Northwind Pulse builds and maintains custom data dashboards that connect to your third-party platform accounts (including Shopify, Instagram, and TikTok) to surface analytics, KPIs, and business intelligence. Each dashboard is custom-configured to your account and delivered as a hosted web application.

Services include installation, configuration, ongoing maintenance, and access to your live dashboard. Details of what is included in your specific plan are set forth in your service agreement and the applicable pricing documentation.

By proceeding with onboarding, making a payment, or accessing a dashboard we have built for you, you confirm that:

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use your dashboard solely for your own internal business purposes.

This license does not include the right to copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Services, dashboard code, logic, or visual design.

All code, design, logic, methodology, visualizations, and other materials used in or comprising the Services are and remain the exclusive property of Northwind Pulse. These Terms do not transfer to you any ownership interest in the Services.

Your data - meaning the raw data retrieved from your connected platform accounts - remains yours. We do not claim ownership of your business data.

6. Data, Privacy, and Platform Integrations

To provide the Services, you authorize Northwind Pulse to connect to your third-party platform accounts (Shopify, Meta/Instagram, TikTok, Google Analytics, and others as applicable) and retrieve data on your behalf. This data is used solely to populate and power your dashboard.

We do not sell your data, share it with unaffiliated third parties, or use it for purposes beyond delivering your Services.

You are responsible for maintaining your platform accounts in good standing and complying with the terms of service of each connected platform (Shopify, Meta, TikTok, Google, etc.). A suspension or policy violation on a connected platform account may affect your dashboard's data availability and is not within our control.

API access tokens stored on your behalf are secured using industry-standard practices (Cloudflare Workers secrets and KV storage). You acknowledge that no system is entirely free from security risk.

We process only the minimum personal data necessary to deliver your dashboard, including customer names, email addresses, and order information retrieved from your connected platform accounts. This data is used solely for analytics display purposes and is not used for any other purpose.

Retrieved data is temporarily cached in our systems to power your live dashboard. We do not retain customer personal data long-term - cached data is not stored permanently and is not maintained beyond what is necessary to deliver the current state of your dashboard. Your source data remains in your connected platform accounts (Shopify, Meta, etc.), which serve as the authoritative record.

Upon termination of your service, cached data associated with your account will be deleted from our systems within a reasonable time as described in Section 10.

7. Fees and Payment

Fees for installation, setup, and ongoing maintenance are as agreed in your service proposal or as published in our current pricing documentation. All fees are due as specified in your agreement. Failure to pay may result in suspension of access to your dashboard.

If your service lapses and you request reactivation, a reactivation fee may apply as described in our maintenance pricing. Monthly maintenance fees recur on the schedule agreed at signup. Annual plans are billed upfront.

All fees are non-refundable except as expressly required by applicable law.

8. Maintenance and Updates

Clients on an active maintenance plan receive the benefits described in the applicable maintenance tier, including API version updates, token renewal management, metric accuracy monitoring, and minor dashboard improvements.

We reserve the right to update dashboard functionality, add improvements, or adjust the technical implementation of the Services at any time, provided such changes do not materially reduce the core functionality you subscribed for.

We are not responsible for data gaps or outages caused by changes to third-party platform APIs that are outside our control. We will make commercially reasonable efforts to restore functionality promptly when such changes occur.

9. Service Availability

We aim for consistent uptime of your dashboard. However, we do not guarantee uninterrupted availability. Outages may result from third-party platform API changes or outages, infrastructure maintenance, or events outside our control. We are not liable for losses resulting from such outages.

10. Termination

Either party may terminate the Services with 30 days' written notice. Upon termination:

We reserve the right to suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees when due, or engage in conduct that poses a risk to us or other clients.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORTHWIND PULSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO NORTHWIND PULSE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Northwind Pulse and its owners, contractors, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable laws.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, in the State of Wisconsin.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Material changes will be communicated to active clients by email. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
